These General Conditions of Sale and Terms of Use (hereinafter, the General Conditions) are intended to inform the buyer of the terms and conditions of sale of products ordered through the website www.formarreda.it or by email, and to define the obligations and rights of the parties in connection with such sales.

These General Conditions apply from October 20, 2025, to all sales concluded between the seller (hereinafter, Formarreda), through the website www.formarreda.it or by email, and the buyer (hereinafter, the User or Customer), a natural or legal person, who purchases one or more products offered for sale on the site.

The applicable General Terms and Conditions will be those in effect on the date of sale and will prevail over all previous versions.

The Customer is required to declare whether the purchase of products via the website is directly related to the performance of a professional activity, or otherwise connected to professional use, or whether the purchase of products on the website is for personal use.

By placing an order, the Customer declares that he or she has full legal capacity to enter into these General Terms and Conditions.

All orders that do not meet these requirements, and more generally all fraudulent or suspected fraudulent orders, will be considered null and void by the website.

CHANGES TO THE GENERAL TERMS AND CONDITIONS

Formarreda reserves the right to modify the Website and the General Terms and Conditions at any time and without notice. Therefore, the Customer is encouraged to review the General Terms and Conditions each time they use the website or place an order, and to save a copy. Use of the site and/or confirmation of an order following any changes to the General Terms and Conditions constitutes the Customer's full acceptance of the changes.

ACCOUNT

To use the e-commerce service, the User must open an account, providing all required data and information in a complete and truthful manner.

The User agrees not to provide false personal information or create a Profile on behalf of another person, not to share their login credentials and to keep them confidential, not to allow others to access their Profile, or to perform any other action that could jeopardize the security of their Profile. In the event of a breach of these obligations, the User assumes all related liability and releases Formarreda Srl from any liability arising therefrom.

You are free to close your account and cease using the Service at any time by following this procedure:

Formarreda reserves the right to suspend or cancel a User's Account at any time, at its sole discretion and without notice, if it deems such use inappropriate, offensive, or in violation of these Terms.

Suspension or cancellation of an Account does not entitle the User to any compensation, refund, or compensation.

Suspension or cancellation of an Account for reasons attributable to the User does not exempt the User from paying any applicable fees or prices.

PRODUCTS

All products are subject to improvements, changes, and technical and functional modifications at any time and without notice.

While the products on this site are presented with the greatest technical accuracy possible, representation through any means (including, as applicable, graphic materials, images, colors, sounds) is intended for reference only and does not imply any guarantee regarding the characteristics of the purchased product.

PRICES

The product prices published on the website www.formarreda.it are those in effect at the time the order is placed by the Customer.

Prices may be modified by Formarreda at any time. The product list may be modified at any time, including due to the suspension of a product's marketing, temporary suspension, or permanent discontinuation of production.

Unless otherwise stated, published prices do not include shipping and handling costs, which will be invoiced as an additional cost to the price of the purchased product based on the weight and volume of the order. Shipping costs will be indicated before the order is confirmed by the seller.

ORDERS

All orders imply acceptance of these General Terms and Conditions, without prejudice to any specific contractual conditions agreed between the parties.

The Customer must select the product(s) they wish to order on the website. They will be able to review the details of their order and correct any errors. Before confirming the order, the Customer will be shown a summary of the unit cost of each selected product, the total cost if purchasing multiple products, and, if applicable, the related shipping costs. By confirming the order, the buyer will be deemed to have understood and accepted the text of the General Terms and Conditions, as well as the sales price, shipping costs, volume, and quantity of the products offered for sale and ordered by the buyer.

Following order confirmation, the Customer will receive an email confirming receipt of the order, containing the date and total amount of the order.

Subsequently, before processing the order, Formarreda will confirm the order in terms of availability and delivery time. This information will constitute Formarreda's acceptance of the order.

The sales contract will be concluded exclusively with the sending of the order confirmation and acceptance (by email to the address provided when registering on the site) and after Formarreda has received full payment.

ORDER CANCELLATION

Formarreda may cancel the order if the item ordered is no longer available or withdrawn from sale, even after the order is placed, for any reason, without prejudice to Formarreda.

If the total or partial cancellation of a product order occurs after payment has been made, Formarreda will inform the Customer by email, who will receive a credit for the amount of the goods for which the order cannot be fulfilled.

If the cancellation concerns only some of the ordered goods, the remainder of the contract will not be affected.

Furthermore, Formarreda reserves the right to suspend or cancel orders, even those already in progress, in the event of total or partial non-payment of the amount due by the buyer, in the event of fraud or attempted fraud, or in any other event of the Customer's breach of obligations arising from the contract(s) pending between the parties.

PAYMENTS

All orders are payable in euros. To pay for orders placed via the website www.formarreda.it, the Customer has the following payment methods: PayPal, credit cards, and bank transfer.

The Customer guarantees that they have the necessary authorizations to use the payment system used for their order at the time of placing the order.

• Paypal

Payment with PayPal requires using your PayPal account or direct debit from the associated bank account or credit card, according to the methods established by PayPal. In the event of a negative payment, the order will be automatically canceled after 24 hours.

If your payment was declined, please check your card's expiration date and the accuracy of the information you entered. You may also have reached your card's spending limit. Please contact your bank for more information.

• Credit Card

Mastercard, Visa, V Pay, Maestro, Visa Electron, Nexi Pay, JCB, UPI, Servizio Boost, Apple Pay, Google Pay and American Express credit cards are accepted.

Paying by credit card guarantees maximum reliability, confidentiality, and transaction security thanks to SSL (Secure Socket Layer) technology.

If you are asked for Smart 3D-Secure (a security code to enter, linked to the security of credit card payments) and you don't have it on hand, try contacting your bank's customer service to activate it.

If you enter 3D-Secure but the message "payment failed" or "invalid payment" appears, try contacting your bank to ensure everything is correct. If it is, do not attempt the purchase again but contact our customer service for further verification.

• Advance Bank Transfer Payment

By advance bank transfer means that the order will only be shipped upon actual receipt of the payment.

Upon order confirmation, you will receive an email containing the information needed to complete the bank transfer. It is essential that the reason for payment is the order number followed by the words "Formarreda E-Commerce." For example: "Order XXXXXXX Formarreda E-Commerce."

Please note: Orders paid by bank transfer will be processed and shipped only after receiving confirmation of payment from the bank. This increases processing times by approximately 2-3 business days. If the bank transfer is not received within 30 (thirty) days of the Customer's order confirmation, the order will be cancelled.

PAYMENT DELAYS - INTEREST

In the event of late payments, interest will be applied starting from the day following the scheduled payment date.

SHIPPING AND ORDER RECEIPT

Products placed in the final order by the Customer, in accordance with the General Terms and Conditions on this page, will be shipped to the address indicated by the Customer.

Sales invoices will be sent by email to the address indicated by the Customer. Products purchased on this site are delivered via an authorized courier. Formarreda reserves the right to assign the shipment to the courier it deems most appropriate. Confirmed orders are processed once payment is received. Orders are processed (i.e., they leave our warehouse) Monday through Friday, generally within 3-4 days of payment confirmation, except for reasons of force majeure, holidays, vacation periods, or company closures.

The shipping times indicated are estimates based on previous shipments; therefore, they may be subject to advances or delays for reasons not directly attributable to Formarreda.

To facilitate the courier's delivery, when completing the order, please indicate in the "Notes" field any information relevant to expediting delivery, such as: a name on the intercom that is different from the one indicated on the order; any office hours during which you are unavailable; a telephone number to contact in case of difficulties, etc.

Upon delivery, the document or delivery note for the product ordered and received must be signed by the customer or recipient. If the recipient is absent at the time of delivery, the courier will leave a delivery note allowing the recipient to collect the ordered product from the carrier's nearest warehouse. If storage at the warehouse is costly, Formarreda may charge the buyer for all costs related to the late collection of the goods.

The Customer or the final recipient of the goods is required to verify the apparent condition of the products upon delivery. In the event of obvious anomalies (product missing from the delivery documents, damaged or broken packaging or products), the Customer or recipient is required to report the damage or shortages in writing directly on the delivery note, file any complaints, or refuse the goods. Subsequently, the Customer or recipient is required to report the problem in writing by email to customerservice@formarreda.it.

If the Customer or recipient fails to report any defects found in the packaging on the delivery note, Formarreda may reject the complaint if it is found to be unfounded, or proceed as required by law.

In the following cases:

- the Customer deliberately decides not to accept the package and returns it,

- the Customer whose package is at a collection point affiliated with the courier fails to collect the goods within the agreed-upon time and returns them,

- the courier is unable to deliver the package to the address provided by the Customer when ordering,

Formarreda reserves the right to withhold from the refund process an amount equal to the costs incurred in returning the goods to the company and the order processing fees.

For special or unique orders (products specifically tailored to the customer), the approximate delivery times will be specified upon order acceptance.

Delivery is curbside only.

PROMOTIONS

Shipping is free for items over €200 (including VAT) in your cart.

Please note: Shipping costs are subject to change without notice, as is the "free shipping" amount.

The site may include discount codes in packages, on the site, or send them via email or partner sites. These codes can be used by the date indicated on the coupon. The discount coupon must be entered in the "Discount Code" box on the cart page and activated by clicking the "Apply Code" button. The system will update the total order amount, net of the coupon value.

The use of discount codes is governed by the following terms and conditions:

• Discount codes cannot be combined; only one discount code can be used per order;
• Discount codes have a predefined value or can be in the form of a percentage discount;
• They have an expiration date that is indicated with the code itself.
• The discount code is non-refundable and cannot be refunded, in whole or in part, and must be used by the expiration date. The voucher cannot be resold.
• The discount code can only be used for online purchases.
• Fixed-amount discount codes have the nominal value indicated. If this is not sufficient to cover the order amount, the buyer will be required to cover the remaining amount of the order.
• Discount codes listed online may change without notice, including due to dedicated promotions (limited in time).

RIGHTS TO THE CONTENT OF THIS SITE

Formarreda owns and expressly reserves all intellectual property rights to the content of this site.

Users are not authorized to use the content in any way that is not necessary or implicit in the proper use of the site or with the prior written and signed authorization of Formarreda Srl.

The limitations and exclusions provided by copyright law remain unaffected.

The User acknowledges and agrees that by providing their own content to Formarreda, they grant Formarreda the non-exclusive right to process the content for inclusion on this site and/or for marketing purposes.

To the extent permitted by law, the User waives any moral rights in relation to the content provided to Formarreda.

The User is solely responsible for the content provided to Formarreda.

Users agree to indemnify Formarreda from and against any claims asserted and/or damages suffered as a result of content provided by them.

RETENTION OF TITLE

Ownership of purchased products is transferred from Formarreda to the Customer upon full payment of the order amount, or upon delivery, if this occurs following full payment.

LIMITATION OF LIABILITY

The Customer is excluded from any right to compensation for damages and/or indemnity and/or sums, as well as any contractual and/or non-contractual liability for direct or indirect damages to persons and/or property caused by the non-acceptance, even partial, of an order and/or incorrect information provided in the order and/or in the confirmation message sent by Formarreda, as well as for any damage to persons or property resulting from the use, whether proper or improper, of the purchased products.

PURCHASER'S WITHDRAWAL

If the Customer is a "Consumer," pursuant to Article 3 of the Consumer Code, they have the right to withdraw from the purchase contract according to the procedures specified below. The withdrawal period expires 14 (fourteen) days from the day on which the Customer, or a third party designated by the Customer, acquires physical possession of the products. The right of withdrawal is exercised by sending, before the expiration of the withdrawal period, as indicated above, a notice of withdrawal by registered mail with return receipt addressed to:

The above-mentioned registered letter must be sent in advance by email to the following address: customercare@formarreda.it.

The notice of withdrawal must specify the intention to withdraw from the purchase and the product(s) for which the right of withdrawal is being exercised. Upon receipt of this notice, Formarreda will confirm receipt of the notice to the person exercising the right of withdrawal and will indicate the address to which the returned goods should be sent. The product(s) must be returned within 14 (fourteen) days from the date on which the Customer communicated their decision to withdraw. This deadline is met if the Customer returns or delivers the returned product(s) before the 14-day deadline, to the address indicated by Formarreda in the aforementioned notice. The seller reserves the right to withhold the refund until it has received the product(s).

The right of withdrawal is, however, subject to the following conditions:

1. The purchased product is intact and returned in its original packaging, complete in all its parts (including packaging and any documentation and accessories).

The Customer may not, in any case, exercise the right of withdrawal for goods made to order or clearly personalized.

The Customer's return shipping for the returned products is the sole responsibility, cost, and risk of the Consumer. If the package is damaged during transport, Formarreda will notify the Customer of the incident (within 5 business days of receiving the package at its warehouses) to allow the Customer to promptly file a complaint with the courier of their choice and obtain a refund for the value of the goods (if insured). In this case, the package will be made available to the Customer for return, and exercising the right of withdrawal will have no effect. Formarreda Srl is not liable in any way for damage, theft, or loss of goods returned via uninsured shipments. Upon arrival at the warehouse, the package will be inspected by Formarreda to assess any damage or tampering, even if not caused by transport. If the packaging and/or original wrapping are damaged, Formarreda Srl will deduct a percentage of the refund due, no more than 10% of the refund, to cover repair costs. Excluding any repair costs for confirmed damage to the original packaging, Formarreda will accept the return of the product(s) provided they are delivered in perfect condition to the location and within the timeframe indicated above. Formarreda will refund the Customer the price already paid and collected (excluding shipping costs if charged upon order confirmation) as quickly as possible and in any case within 30 days of the withdrawal request, by reversing the amount charged to the PayPal account or by bank transfer. In the latter case, the Customer will be responsible for promptly providing the bank details for the refund (IBAN - Current Account of the invoice holder). Bank charges will, in any case, be borne by the Customer. The right of withdrawal will therefore be forfeited in the event of failure to comply with the terms indicated in the previous clause, in the event of the Product and/or its original packaging being returned incomplete (and therefore in cases where Formarreda discovers damage to the Product and/or packaging due to causes subsequent to delivery to the Customer). In such cases, Formarreda will return the purchased item to the sender, charging the sender the shipping costs, and no refund will be issued.

The right of withdrawal is excluded, and therefore, the preceding paragraphs do not apply to contracts concluded with Professional Customers.

WARRANTIES

• Warranty for Consumer Purchasers

The Consumer Customer has the right to avail of the legal guarantee provided for by the Consumer Code itself, Articles 128 to 132. The Consumer, under penalty of forfeiture, must immediately report to Formarreda Srl any defect of conformity found by the Consumer in the purchased product. Following such a report, the Consumer will be entitled to request repair or replacement of the product, without prejudice to any other rights provided by law. By virtue of the aforementioned legal guarantee, Formarreda is liable for defects of conformity that become apparent within 2 (two) years of Delivery of the Product. Beyond this period, the seller will not be liable for defects of conformity found by the Consumer. In the event of replacement or repair of the product, the terms of the guarantee relating to the replacement product or the repaired product are the same as those for the original product. Therefore, the overall two-year duration of the legal warranty will in any case begin upon delivery of the original product.

• Legal Warranty for Non-Consumer Purchasers - Professionals

The Professional has the right to avail of the legal warranty provided for in the Italian Civil Code. The Professional, under penalty of forfeiture, must immediately report any defects in conformity found in the purchased product to Formarreda within 8 (eight) days of discovery. The warranty is valid for a maximum of 12 (twelve) months from delivery of the product. Beyond this period, the seller will not be liable for defects in conformity found by the Professional. In any case, any warranty is excluded in the event of improper use of the goods, negligence, poor maintenance of the goods, normal wear and tear, and force majeure.

The complaint, in both cases, must be sent to the seller by registered mail with return receipt addressed to:

The above-mentioned registered letter must be sent in advance by email to the following address: customercare@formarreda.it.

The seller may request any explanatory details, photographs, or a technician to verify the existence of the problem, analyze it, and assess its extent.

The seller may then reject the complaint if it is found to be unfounded or proceed as provided by law.

APPLICABLE LAW AND JURISDICTION

The sales contract between the Customer and Formarreda is deemed to have been concluded in Italy and is governed by Italian law. For the resolution of civil and criminal disputes that may arise from the conclusion of this distance selling contract, if the Customer is a consumer pursuant to the Consumer Code, the local jurisdiction is that of the court of his/her municipality of residence or domicile; in all other cases, the local jurisdiction is exclusively that of the court designated by Formarreda.

USER DATA PROCESSING

User data is processed in accordance with the regulations on personal data pursuant to Legislative Decree 196/2003.

The personal data collected by Formarreda is necessary for order processing by Formarreda and its collaborators and may be used to inform contract processing personnel and business partners.

The buyer or recipient of an order has the right to access, correct, or delete any data held by Formarreda concerning them, as well as the right to object to the processing of such data for direct marketing purposes. To exercise this right, the User must send an email to customercare@formarreda.it.

As part of the fight against Internet fraud, order information may be transmitted to all third parties authorized by law or designated by Formarreda for the sole purpose of verifying the buyer's identity, the validity of the order, the payment system, and the expected shipment.
